[ILUG] Ethtool Errors on RHEL5 & VMware

I think I might have approached this error before, but I never really bothered with it. Now its after becoming more of a nuisance.
I have a RHEL5.1 server running kernel 2.6.18 running as a VM on a Dell R900. One network interface.
I have "" errors filling up dmesg. Lists & Forums say to ignore it, as it's a known issue, but I would like to get to the bottom of it.
Here is the output:
[root at curzilla ~]# ethtool -k eth0
Offload parameters for eth0:
Cannot get device rx csum settings: Operation not supported
Cannot get device tx csum settings: Operation not supported
Cannot get device scatter-gather settings: Operation not supported
Cannot get device udp large send offload settings: Operation not supported
Cannot get device generic segmentation offload settings: Operation not supported
rx-checksumming: off
tx-checksumming: off
scatter-gather: off
tcp segmentation offload: off
udp fragmentation offload: off
generic segmentation offload: off
The thing is I have a copy of this server on my test network, which doesn't have ANY of these errors. The clone was taken a few days ago, and this problem has been happing since we migrated to VM (about March). The test network doesn't get hit anywhere near the same kind of requests as the live system, but if I could just find out what is causeing it, then maybe I can turn it off. Here is the ethtool output from my test lan:
